Terms of Service
Effective June 2, 2026
These Terms of Service (“Terms”) govern your access to and use of AI Agent Rx™ by MindBotics (the “Service”), operated by MindBotics LLC (“MindBotics,” “we,” “us”). By using the Service you agree to these Terms. Please read them together with our Privacy Policy.
1. Acceptance
By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
2. The service
AI Rx is a quality-assurance tool that simulates customer conversations against the AI agents you configure (web chat and, where enabled, voice), scores those conversations across defined dimensions, and produces reports and suggested prompt revisions. The Service is provided for your internal business use and the use of your own clients whose agents you are authorized to test.
3. Accounts & eligibility
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for the activity that occurs under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.
- Authentication is provided through our identity provider. You agree to provide accurate account information and keep it current.
4. Plans, trials & billing
- Plans. Paid plans are billed monthly in advance at the price shown at checkout. Each plan includes the usage limits described on our pricing page (including limits on the number of clients and the number of tests per month). We may meter, throttle, or block usage that exceeds your plan's limits.
- Free trial. Trials are time-limited and, unless you add a payment method and select a paid plan before the trial ends, access ends automatically. Trials may be limited in usage and are offered at our discretion.
- Payments. Payments are processed by our payment processor. We do not receive or store full payment-card numbers. You authorize recurring charges to your payment method until you cancel.
- Renewals & cancellation. Subscriptions renew automatically each billing period. You may cancel at any time from the billing portal; cancellation takes effect at the end of the current period.
- Refunds. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods or unused tests.
- Price changes. We may change prices on a going-forward basis; changes apply to the next billing period after notice.
- Taxes. Stated prices exclude taxes; you are responsible for any applicable taxes other than taxes on our net income.
5. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service to harass, defraud, or harm others, or to send spam or unsolicited communications;
- place test calls to any phone number you do not own or are not authorized to call (see Voice testing & consent below);
- use the Service to violate any law, including telecommunications, privacy, consumer-protection, or anti-robocall laws;
- probe, scan, overload, or attempt to gain unauthorized access to the Service or its underlying infrastructure, or circumvent usage limits, rate limits, or access controls;
- copy, reverse engineer, decompile, scrape, resell, or sublicense the Service, or use the Service, its outputs, or its scoring methodology to build, train, or benchmark a competing product or service, except as expressly permitted by your plan;
- upload content you do not have the right to use, or that is unlawful, infringing, or contains another person's personal data without a lawful basis.
We may suspend or limit access to protect the Service, other customers, or third parties from harm or abuse.
6. Voice testing & consent
The voice-testing feature places real outbound telephone calls through our telephony providers to the number you configure. This is a powerful feature with legal obligations attached, and you are solely responsible for using it lawfully.
- You represent and warrant that, for every number you submit for voice testing, you either own the number or have the number owner's authorization to place automated test calls to it. We require you to attest to this before voice tests run.
- You are responsible for compliance with all applicable laws and regulations governing automated, prerecorded, or AI-driven calls, including the U.S. Telephone Consumer Protection Act (TCPA) and equivalent state and international laws.
- You must not use voice testing to dial individuals, conduct telemarketing, or place calls to numbers on any do-not-call registry.
- You will indemnify us for claims arising from your use of voice testing in violation of this section (see Indemnification).
7. AI output & no warranty of results
The Service uses third-party AI models to simulate conversations and to generate scores, findings, and suggested prompt revisions. AI output can be inaccurate, incomplete, or inconsistent. Scores and recommendations are automated, are not professional, legal, or compliance advice, and are not a guarantee of how any live agent will perform with real customers. You are responsible for reviewing any output before relying on or deploying it. We do not warrant any particular result, score, or business outcome.
8. Intellectual property
The Service — including its software, design, the test scenario library, the QA scoring methodology and rubric, the prompt-synthesis logic, the branding, mascot, and the AI Agent Rx™ by MindBotics and MindBotics™ marks — is owned by MindBotics and protected by copyright, trademark, trade-secret, and other intellectual-property laws. All rights are reserved. Except for the limited right to use the Service granted below, no right, title, or interest in the Service is transferred to you.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, solely for your internal business purposes and the authorized testing of agents you control. You may not copy, modify, create derivative works of, distribute, publicly display, reverse engineer, or use the Service or its outputs (including the scores, findings, and methodology) to build, train, or benchmark a competing product. The scoring methodology, rubric, and prompt-synthesis logic are confidential trade secrets of MindBotics; you will not disclose or attempt to derive them.
You retain ownership of the content you submit (such as your client configurations and agent prompts), and you grant us a limited, non-exclusive license to host and process that content solely to provide, secure, and improve the Service. If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
9. Third-party services
The Service relies on third-party providers for hosting, database, authentication, billing, AI models, telephony, and email. Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions. 10. Privacy & data
Our handling of your data is described in our Privacy Policy and Security & data page. If you submit personal data of third parties (for example, within an agent prompt), you represent that you have a lawful basis to do so.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any output will be accurate or reliable.
12. Limitation of liability
To the maximum extent permitted by law, MindBotics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless MindBotics and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law — including, without limitation, claims arising from your use of voice testing.
14. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends. Data handling after termination is described in our Privacy Policy and Security page.
15. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there, except where applicable law requires otherwise.
